Design Ownership & Intellectual Property

This policy explains ownership and permitted use of concepts, designs, drawings, and other materials created by Envisionary Images, LLC. Project-specific agreements may contain additional terms. If a signed or accepted written agreement conflicts with this policy, that agreement controls.
Envisionary Images retains design ownership
Unless ownership is expressly transferred in a separate written agreement signed by Envisionary Images, all concepts, sketches, layouts, renderings, CAD files, shop drawings, technical drawings, engineering files, specifications, models, prototypes, design details, revisions, and related materials created by or for Envisionary Images remain the exclusive property of Envisionary Images.
Buying the furniture does not buy the design
Payment for a physical product, deposit, proposal, consultation, design service, drawing package, or custom furniture project does not by itself transfer ownership of the underlying design, drawings, files, methods, manufacturing rights, or other intellectual property.
The customer receives ownership of the physical product after full payment, subject to the applicable agreement. The customer does not receive the right to reproduce, manufacture, license, sell, distribute, or provide the design to another fabricator unless Envisionary Images grants that right in writing.
Unauthorized manufacturing strictly prohibited
Clients, contractors, manufacturers, consultants, and other third parties may not use, copy, reproduce, modify, distribute, disclose, reverse engineer, or provide Envisionary Images designs or design materials to another party for fabrication or manufacture without prior written authorization from Envisionary Images.
This restriction applies whether the design is contained in a rendering, PDF, CAD file, shop drawing, photograph, proposal, quotation, marked-up image, specification, or other format.
Limited review license
Unless otherwise stated in writing, design materials provided to a prospective or current customer are licensed only for internal evaluation, approval, coordination, and completion of the project with Envisionary Images. They may be shared only with the customer’s employees, architects, designers, contractors, or consultants who need them for that limited purpose and who are informed that the materials remain proprietary.
Purchasing design or manufacturing rights
Design rights, manufacturing rights, or ownership of specified files may be available on a case-by-case basis for an additional fee. Any transfer or license must be described in a separate written Intellectual Property Transfer or License Agreement signed by Envisionary Images. The agreement should identify exactly which rights and files are included; all rights not expressly transferred remain with Envisionary Images.
Customer-provided materials
The customer represents that it has permission to provide any logos, artwork, plans, photographs, trademarks, or other materials supplied to Envisionary Images. The customer remains responsible for claims arising from materials it supplies unless otherwise agreed in writing.
Copyright and other protections
Original design materials may be protected by copyright, trade-secret, contract, unfair-competition, and other applicable laws. Copyright protection depends on the particular work and circumstances; this policy does not claim rights beyond those provided by law.
Portfolio and photography rights
Unless otherwise agreed in writing, Envisionary Images may photograph and display its products and completed work in portfolios, websites, social media, advertising, awards submissions, and other marketing materials. We will make reasonable efforts not to disclose confidential customer information.
Remedies
Unauthorized use may cause harm that is difficult to measure. Envisionary Images reserves the right to pursue available remedies, which may include stopping unauthorized use, seeking compensation, recovering profits or damages where permitted, and enforcing contractual rights.
